Moin, moin,
"Notice of Contract to License Onkyo’s Home Audio Visual Business
May 21, 2019
At the Company's Board of Directors meeting held on May 21, 2019, Onkyo Corporation agreed to enter into a contract to transfer all shares of its consolidated subsidiaries Onkyo & Pioneer Corporation, ONKYO ASIA ELECTRONICS SDN.BHD, Onkyo & Pioneer Marketing Japan Corporation, and part of the business for Pioneer & Onkyo Marketing Asia Ltd. and Onkyo (Shanghai) Trading Co., Ltd. to Viper Holdings Corporation. Other subsidiaries and current distribution by Onkyo USA in the Americas and Aqipa in Europe will be unaffected by this transaction.
As part of the agreement Onkyo will license relevant Home AV products but continue to own the Onkyo and Integra brands after the transfer.
Reason for the Share Transfer and Business Transfer
As announced on May 15, 2019 in our “Notice of Basic Agreement on Transfer of Home AV Business”, Onkyo entered into a basic agreement to engage in concrete discussions to transfer our Home AV business to Sound United LLC, which develops, designs, manufactures and sells audio and electronic devices and its holding company Viper Holdings.
In today’s rapidly changing AV market where user needs constantly evolve and new players enter increasingly smart homes with increasingly advanced AI and IoT technologies it is imperative that a strong group dedicated and laser focused on high-quality audio and electronics is driving the user experience. Under this reality Onkyo has decided that its business resources and technology are best directed in the two areas it believes to have the most growth potential - Digital Life portable products and OEM products and services targeting the B2B space. Sound United, which will now add Onkyo’s brands to its already world-class premium brand line-up of Denon, Polk Audio, Marantz, Definitive Technology, HEOS, Classé, and Boston Acoustics will now be perfectly positioned to capture the future growth of music and entertainment in the home.
For these reasons Onkyo has decided to assign home AV related consolidated subsidiaries and their stock along with overseas business related to the home AV business to Sound United and its new parent company Viper Holdings Corporation.
About the Agreement
The above mentioned share and business transfer remain subject to a number of conditions that need to be satisfied prior to closing including the completion of notifications, examinations, etc. (including those under foreign law) concerning business combinations to relevant authorities such as competition authorities in each country. Additionally, the Share Transfer will be executed after approval of the General Meeting of Shareholders of the Company to be held on June 26, 2019.
." (Onkyo Presse-Mitteilung)
